In NY the transfer tax is a tax paid by the seller to transfer title. It is approximately .004 x the final sales price. "As is" properties are usually in bad condition and may not be able to get traditional bank financing. If it is in such bad shape you might have to purchase all cash.

The standard purchase contract in CA requires mediation as the first dispute resolution forum and if the buyer files a suit without going to mediation, they will not be able to get attorney costs if they do prevail. You can request the court to compel the buyer to mediate with you.
You should have copies of the disclosures and reports that you provided and they signed as well as any property inspections the buyer had prepared during the contingency period which should also have addressed evidence of previous standing water in the sub area- all of these will provide the core of your defense against their claims that they did not know in advance.
